Terms of Service
Last updated: 26 October 2026
These terms govern the use of Asko.Cloud Coexistence (the “Service”) provided by Kay Probst, Asko.Cloud, Münchner Straße 135C, 85774 Unterföhring, Germany (“Provider”). The German version (Nutzungsbedingungen) prevails; this translation is for convenience.
1. Scope
The Service is offered exclusively to businesses (§ 14 German Civil Code) and public bodies (“Customer”). Individual agreements (offer, service description, prices) take precedence over these terms.
2. Services
The Provider operates a technical platform that lets the Customer use WhatsApp Business numbers simultaneously in the WhatsApp Business App and the WhatsApp Cloud API (Meta “Coexistence”), forward WhatsApp Business Platform events to its own systems (webhooks), and manage messages, templates and settings through a REST API and an MCP server. The WhatsApp Business Platform itself is provided by Meta. The Provider is an independent technology provider, not an agent of Meta and not responsible for Meta’s services. Features and limitations of Coexistence are defined by Meta and may change.
3. Customer obligations
- The Customer holds a Meta business portfolio, an eligible WhatsApp Business number and its own payment method in WhatsApp Manager.
- The Customer complies with Meta’s terms and policies, in particular the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy, obtains required opt-ins and is solely responsible for the content of its messages.
- The Customer opens the WhatsApp Business App regularly (at least every 14 days as required by Meta).
- The Customer keeps API keys, webhook secrets and any access tokens confidential and reports suspected misuse without delay.
4. Meta charges
Meta charges for Cloud API messages directly to the Customer’s payment method. The Provider is not a party to that relationship.
5. Fees
Fees follow the individual agreement. Unless agreed otherwise, fees are invoiced monthly in advance and due within 14 days. Prices are exclusive of VAT.
6. Availability
The Provider aims for high availability, excluding scheduled maintenance and disruptions beyond its control, in particular outages or restrictions of Meta’s services and blocking of numbers or accounts by Meta. Events not accepted by the Customer’s system are retried for a limited time and discarded afterwards.
7. Suspension
The Provider may suspend access where there are concrete indications of a breach of these terms, Meta policies or applicable law, or to avert danger to the Service.
8. Data protection
Where the Provider processes personal data on behalf of the Customer, the parties conclude a data processing agreement under Art. 28 GDPR. See also the Privacy Policy.
9. Liability
The Provider is liable without limitation for intent and gross negligence, injury to life, body or health, under the Product Liability Act and under guarantees. For slight negligence the Provider is only liable for breach of essential contractual obligations, limited to the typical, foreseeable damage. Liability for services, decisions or outages of Meta is excluded unless caused by the Provider.
10. Term and termination
Unless agreed otherwise, the contract runs for an indefinite period and may be terminated by either party with one month’s notice to the end of a month. After termination the Provider disconnects the numbers and deletes stored access data, subject to statutory retention duties.
11. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Munich, Germany, to the extent permitted by law.
